They were using the rules of when the game was called "Magic and Wizards", totally different from Duel Monsters. The OCG had just been introduced and the anime wasn't meant to promote it, that's the reason it used the first manga rules.
And Kaiba's reason to attempt suicide are totally justified. I don't know about the dub but in Japanese (original), he needs to win the duel, since Pegasus will kill Mokuba if Kaiba loses against Yugi. Pegasus needs that Yugi gets disqualified in order to take over Kaiba Corporation.
So Kaiba prefers to die with his brother. If Yugi defeats him, he suicides as Mokuba gets killed by Pegasus' men.
Pegasus has 2 options to take over Kaiba Corporation:
1.- Yugi gets disqualified and Kaiba Corporation's stock will be sold to him.
2.- Mokuba has the key to take over Kaiba Corporation's main computer, thus allowing him to gain control of the company, but right now the company's stock value is the pits, since the company lost credibility when its CEO lost to an amateur.
So it's easier to defeat Yugi than to invest in a company whose value is almost 0.
Kaiba Corporation almost went bankrupt because:
1.- Its CEO was defeated by an Amateur.
2.- Its CEO was MIA, so the company stopped operating (originally, Kaiba was in a comma).
Also, Pegasus needs to kill Mokuba to get the key because Mokuba ATE the key (the thing he has in his neck isn't the key as they state).
TL;DR version:
Kaiba has a real reason to threaten suicide, since both, his and his brother's lives are in danger. So his option is either: Both get killed, or both survive.
