A Pepsi partnership is ultimately just a TV and print campaign. They have said they want her, so they can't be too scared. Katy is the obvious choice (All-American pop sheen etc.) but I bet they'd revel in the moment of a well-executed Gaga film sold to them as her comeback.
I personally think her hunger for success and her idolising of pop moments (Pepsi have history with pop icons) will overpower her defiance sooner or later.

Wait, what brand was involved with GUY?
I'm talking about something like how Pepsi paid for Bey's entire BEYONCE era with that $50,000,000 sponsorship, which included TV and print but also so much more. Something like that with a brand re-invention could do really big things for her, but I still don't think she'd do it. I don't know what it is, but I just don't get that vibe from her anymore, like she doesn't care and just wants to make her rock music or whatever she wants at this point.
Then again, she did kind of do it with H&M, like you said. She worked with that music video director and seemed to have no problem with it. Damn it, I don't even know her anymore lmao.
