OVERALL the story is better. It's more complex and the characters are more fleshed out.
Uncle Ben didn't die over milk sis. I think you're misinterpreting the events a bit. It's better than him being killed by some criminal who coincidentally turns into the Sandman later on.
Harry Osborn's motives in ASM2 go beyond just being a pretty boy with daddy issues.
The love interest isn't a whiny, useless woman.
I mean the other ones were good.... but they were so basic and cheesy.
